"Kavim" Public Transportation Ltd. was set up in 2000 in order to compete for the operation of public transportation services. |

| The Company won and has been operating the routes in the
Bik'at Ono area, which comprises a significant part of the greater Tel Aviv
metropolitan area in Israel. It recently began operating routes in the area of
the Jezreel Valley in the northern part of Israel, where it has succeeded in
increasing the number of passengers by more than 20% over the previous
situation. Kavim had won the bid in the tender of the very
important Petach Tikva area of the Tel Aviv metropolitan area, and will start
operate there at the beginning of 2006. Kavim intends on
continuing to participate in all future tenders for the privatization of public
transportation in Israel |
| The
headquarters of the Company is located near Tel Aviv, with a local office
operating in Afula. The major functionaries of Company Management have many

Kavim sees itself as a leading provider of public
transportation services in Israel and aspires to hold a significant share of
the market in the future. In furthering this goal, it has been successful in
competing in the public transportation tenders of the Ministry of
Transportation which were designed to bring new players into the industry which
for many years had been dominated by a small number of monopolies.

as a leader from the standpoint of quality, placing itself on the cutting edge
of technology, by introducing into Israel a number of advanced projects for the
improvement of service and operations, as follows: |

● "Ofek" a smart ticketing project using the most advanced standard, as a national
pilot. |

● A
low-floor urban minibus, developed jointly by the Company and "Merkavim",
as a national pilot. |

● A
passenger information system providing passengers with real-time information
on the arrival of buses at bus stops, based on GPS systems incorporated with a
system for vehicle fleet management. |

● On-board
advertisement and information screens for passengers. |
|
● An
online system for buses controllers, through Internet and cellular
communications. |
|

In order to expand its profit base, the Company intends on merging
with and even acquiring other companies to create a synergy in areas that are
tangential to public transportation and the bus industry. At present, the
Company has significant shares in leading companies in the area of educational
tourism, vacations, and events. |

| As part of the Company's policy to expand its activities,
the Company has begun investing in tourism projects which are synergistic to
its activities in the area of public transportation. |
| Kavim Vacations Ltd. - The Company has a joint
project with the Israeli Society for the Preservation of Nature (as a brand
name in the field of local tourism) in the area of educational tourism . This
company is a wholly-owned subsidiary of Kavim. |
| Arnon Paz Ltd. - Kavim Vacations Ltd. owns 50% of of
this company, which is engaged in the organization of conferences and in
providing vacation services to groups and individuals. |

Kavim is looking
for business opportunities, mainly in Eastern Europe, and is currently in
negotiations with plants and authorities in Hungary, Romania, Poland, the Ukraine, and Serbia. |

| Mayer's Cars & Trucks Ltd. (45%). The Israeli
importer of Volvo, Honda, Renault trucks (about 30% of the market). Mayer's
is the controlling shareholder of the Phoenix Insurance Company, Hertz
Rent-a-Car, Merkavim (builder of buses) and other companies. |

| 10%
is held by Nazareth Transport & Tourism Ltd., the operator of public
transportation routes in the northern part of Israel and also engaged in
tourism and special travel services. |
